Terms of Use – The World Changers Network

Please read these terms carefully as they govern Your rights and duties relative to use of The World Changers Network website and services.

Acceptance of Terms

These Terms of Use (the “TOU” or this “Agreement”) constitute an agreement between The World Changers Network, LLC (“The World Changers Network” or “we,” us,” or “our”) and each individual (“You,” “Your,” or “Yourself”) who accesses our website, www.twcnetwork.io (the “Website”), uses the Website’s tools, content, courses, community and events, or uses our mobile application (combined, the “Services”), or applies to participate in our Affiliate Program (“Affiliate Program”), subject to the terms and conditions set forth herein. This Agreement governs Your rights and responsibilities for use of the Services and participation in the Affiliate Program. Additional posted guidelines, policies or rules applicable to the Services and Affiliate Program may be posted on the Website and modified from time to time (“Additional Terms”). All such Additional Terms are hereby incorporated by reference into this Agreement; except where such additional terms and conditions are specific and limited in applicability to a particular offer, as denoted on the portion of the Website describing the offer (the “Offer Page”) or other promotional material, then such additional terms and conditions are incorporated herein only to the extent that they pertain to the particular offer (“Limited Terms”). Capitalized terms are as defined throughout this Agreement. The term “Brand Entity” refers to any business entity controlling, controlled by, or under common control with The World Changers Network. As we may modify any terms herein at any time You should periodically visit the TOU, Additional Terms and Limited Terms posted on the Website to review all current terms.

By using the Website, otherwise accessing the Services, or submitting an application to the Affiliate Program, You represent that You are at least eighteen (18) years of age, that You have the legal authority to bind Yourself, stipulate that You have read this Agreement in its entirety, and agree to be bound by its terms.

If You do not accept this Agreement, You must not access the Services, and WE DO not consent to Your use of or access to the Services.

Important Disclaimer Regarding the Information We Provide

The World Changers Network is a social and educational platform, that publishes general content for a broad community of users. You understand that no published content constitutes a recommendation that any particular investment, insurance vehicle, security, portfolio of securities, transaction, investment strategy or financial product is suitable for any specific person. To the extent any published content may be deemed to be investment advice, such information is impersonal and not tailored to the needs of any specific person.

You understand that the views expressed in the Services are the authors’ own opinions. Published content and speakers at live events will come from a variety of backgrounds, and most commonly, will not be generated directly by The World Changers Network or its employees. The content, including any information, data, case studies, and personal experiences shared are all provided on an “AS IS,” and “AS AVAILABLE” basis. Past results are not necessarily indicative of future performance. The World Changers Network makes no representations regarding any published content, nor is The World Changers Network liable for any actions You take or fail to take based on the content provided. Your use of the Services is subject to Your acceptance of any liability that may result as a consequence of the actions You take or fail to take based on the content provided.

The Services are directed solely to individuals residing in the United States. Content provided through the Services is not appropriate or targeted for use in other locations. Those who choose to access the Services from other locations do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent applicable. We reserve the right to limit the availability of the Services to any person, geographic area, or jurisdiction we so desire, at any time and in our sole discretion, and to limit the quantities of any such service that we provide.

Member Services

Memberships

To gain access to portions of the Services, You must register and become a Member of The World Changers Network. Subject to this Agreement and the Limited Terms stated on the Offer Page for each Membership, The World Changers Network may provide its registered users (“Members”) with access via the Website to:

Free Memberships, including expanded access to our courses, community and events;
Basic Paid Memberships, including access to all content included with the Free Membership, plus limited access to a Certified Insurance Pre-Licensing Course (subject to the Limited Terms set forth on the Offer Page), and access to The World Changers Network Affiliate Program (subject to section 6 of these TOU) for a subscription fee as described on the Basic Membership’s Offer Page;
VIP Memberships, including all components of the Basic Paid Membership, with additional benefits, term and pricing information as described on the VIP Membership’s Offer Page; and
Lifetime Memberships, including all components of the VIP Membership, with additional benefits, term and pricing information as described on the Lifetime Membership’s Offer Page.

Services included with free and paid Memberships described above are collectively referred to as “Member Services.” You are responsible for promptly paying all fees associated with Your purchase of Member Services, in accordance with the pricing structure set forth in the Offer Page for such Membership. All paid Memberships will automatically renew and will be automatically charged to the billing method on file, unless the Membership is cancelled within thirty (30) days of expiration. You are responsible for cancelling Your Membership in advance of renewal.

You acknowledge that Member Services may include certain communications from The World Changers Network, such as service announcements and administrative messages that You may not be able to opt out of receiving.

Registration

You may register to become a Member of The World Changers Network by choosing a unique username, and password, and supply us with true, accurate, current and complete information about Yourself, as required on the registration page. Your registered Member name, which appears on Your profile, must be Your legal name or the name that You commonly use to identify Yourself in public. You agree to provide true, accurate, current and complete information about Yourself as prompted by the Services’ registration form and to maintain and promptly update Your registration data to keep it true, accurate, current and complete. Our policy with respect to the collection and use of Your personal information is set forth in our Privacy Policy below.

Termination, Renewal and Refund Policy

You may terminate Your Membership at any time.

Please note:

Upon the commencement of Your initial Paid Membership term (which occurs upon Your registration for a paid Membership) Your credit card will be billed the applicable subscription fee and Your paid subscription will commence.
All paid Memberships will automatically renew and will be automatically charged to the billing method on file, unless the Membership is cancelled at least thirty (30) days prior to expiration.
Cancellation of a Membership within thirty (30) days of expiration will prevent auto-renewal and payment of additional subscription fees.
Basic Paid Memberships are nonrefundable, without exception.
VIP Memberships and Lifetime Memberships are generally non-refundable. Prorated refunds may be offered at the discretion of The World Changers Network, subject to the Limited Terms applicable to each Membership.

The World Changers Network reserves the right to unilaterally terminate Your Membership at any time for breach of any term of this Agreement, for any other reason, or for no reason at all.

No Agency

Membership in The World Changers Network does not create any employment or independent contractor relationship with The World Changers Network, nor does it bestow upon a Member the right to speak for or act on behalf of The World Changers Network or any Brand Entity. Members are expressly prohibited from holding themselves out as agents, independent contractors, employees, or representatives of The World Changers Network or brand in any capacity or to otherwise indicate that they are acting on behalf of The World Changers Network or any Brand Entity unless expressly authorized to do so under a separate written agreement between the Member and a Brand Entity.

You expressly agree not to express or imply ownership in or control of The World Changers Network, and to refrain from suggesting any non-existent affiliation with The World Changers Network or any Brand Entity.

Members who apply and are accepted to the Affiliate Program (“Affiliates”) may share information about and invite people to join The World Changers Network through, and subject to, the rules of the Affiliate Program contained in section 6 of these TOU. That is the full extent and the only permitted method through which Members may represent themselves as being affiliated with The World Changers Network.

Duties and Covenants

You represent and warranty that all personal identifying information is true and correct, that You have provided Your full legal name or the name that You commonly use to identify Yourself in public (not a handle or pseudonym), and that You will immediately notify The World Changers Network of any change in Your personal identifying information, contact information, and tax ID information (as applicable).

You represent and warranty that Your access and use of the Services is in furtherance of a bona fide expression of private interest, that Your sole purpose for accessing and using the Services is to learn about or participate in The World Changers Network , and that You are not furthering unrelated business or personal interests or for financial gain that is unrelated to participation in The World Changers Network.

You are solely responsible for all information, communications, images, data, text, media, comments, or any other material that You upload, post, publish, transmit, or display on the Website, during live events, within the online community and privately to other Members. The following are examples of Content and other use of the Services that is illegal or prohibited by The World Changers Network. We may investigate, take legal action, or perform any other action we deem necessary or warranted in managing the Service and Your content, including, without limitation, preservation of such information for investigative purposes.

As a condition for use of the Services, You covenant and agree to not use the Services to:

publish any message that is unlawful, harmful, offensive, harassing, defamatory, vulgar, threatening, violent, illegal, infringing on third party rights, objectionable, pornographic, libelous, invasive, encouraging money laundering, gambling or any other unlawful or unwarranted behavior;
to solicit any Member for employment or business purposes, except as expressly authorized under the Affiliate Program or a separate written agreement between You and a Brand Entity;
sell, promote or otherwise market for sale any item or service, except as expressly authorized under the Affiliate Program or a separate written agreement between You and a Brand Entity;
use comment or feedback threads to post support issues or complaints;
violate any law, rule, or regulation, including any anti-spam, data privacy, or other restriction that may be applicable to Your use of the Service;
promote any illegal activity or enterprise;
stalk, harass, bully, impersonate or solicit information from anyone;
copy, scrape, harvest or use automated systems to collect contact information from the Services for use outside of those authorized under these Terms;
pose a privacy or security risk;
infringe on another’s intellectual property;
spam any users with email, junk mail, fraud, schemes, or the like;
post links to other websites, software or downloadable materials;
create any derivative works or reverse engineer any part of the Services, or put unreasonable load on the Service infrastructure or disrupts the networks connected to the Service;
transmit or upload viruses, worms, or interfere with the Service; or
take any action or inaction which The World Changers Network, in its sole judgement, believes is questionable or could cause harm or liability.

The World Changers Network Proprietary Rights

Limited License.

The Services and related content are the proprietary intellectual property of The World Changers Network. Your use of the Services is permitted under a limited license that provides You limited access under this Agreement. You may not share, transfer to or resell Your use of or access to the Services with or to any third party. You acknowledge that You do not acquire any ownership rights by accessing or using the Services.

Your Membership can be revoked without warning if You violate these Terms. Your right to access and to use the Services is personal to You. You may not share Your access, username, login, or password to the Sites, or to any software, products, or Services offered via the Sites. You agree to keep Your login credentials secure, and to comply with all password security policies, including password change and complexity requirements. You understand that if You are prompted to change Your password, You may lose access to the Sites, software, products, or Services if You fail to do so. You agree to notify us at [email protected] if You become aware of any possible unauthorized use(s) of Your account or any possible breach of security, including loss, theft, or unauthorized disclosure of Your username, Member name or password. You are solely responsible for all activities that occur under Your account.

You may use a standard web-browser (e.g. on a desktop, laptop, or similar computer, or on a portable device such as a tablet, smartphone, or other mobile devices) to access the Sites, software, products, and Services. All other software to access the Sites, the Content, or our database(s) is in violation of this Agreement. A maximum of one simultaneous log-in is allowed per account. This simultaneous login limit applies to the total number of logins at any given time regardless of device type (i.e., computers, tablets, mobile devices, etc.). Any use of the Website that could in any way damage or impair the functionality for other users to any extent is prohibited.

Permissible uses of the Website include all the uses which would normally be associated with a site of this nature, which are authorized under a separate written agreement between You and a Brand Entity, and which are not expressly prohibited herein. For example, Services may include videos or posts – You can view them and replay them. Some content may include an invitation or opportunity to comment, discuss, or post questions or feedback for us via the Sites or via social media. You may also have opportunities to participate in our polls, surveys, discussion threads, forums, or the like. You may have the ability to interact with and share experiences with us or other users. If You choose to submit content for publication through the Services, such as within the online community, such content shall be exclusive to The World Changers Network, deemed to be property of The World Changers Network, and by submitting such content You irrevocably assign any and all rights to such content to The World Changers Network.

Prohibited Uses

Except for approved Affiliates, acting within the scope of an Affiliate Program under the Limited License for Creatives set forth in section 6(g)(i) of this Agreement, no commercial uses are allowed of the Site(s) or any of the Content without written permission.

You understand and agree that the Website content is subject to copyright laws in the US and internationally. You may only copy or download content or information that is expressly provided for that purpose or as an authorized Affiliate in accordance with the Limited License for Creatives (set forth in section 6(h)(i) below). You understand and agree that we, in our sole discretion can decide which content You may download, copy, and/or share and that You will abide by our decisions and policies with regard to our content. You understand that if You do copy or reproduce any information without permission, we may immediately terminate Your access to the Sites and/or to the products or Services.

If a file is made available for and intended for downloading, there will be downloading instructions, which tell You that You can download it and will also indicate whether You may share it. If a downloadable file does not expressly state that You may share it, then You may not do so without written permission.

You agree that You will not remove, replace or obscure any copyright, trademark, service mark or other indicia of source or ownership, nor any notices or legends used in connection with any content contained in the Website, or software, products, or Services offered through the Website or related communications. Any effort to remove, replace, or obscure such marks is a violation of this Agreement.

The prohibition on removing copyright and similar notices apply to any downloadable files that may be provided on the Sites, even if You are an Affiliate with permission to share those files with others under the Limited License for Creatives. You must share the file as we provide it and not remove our marks, notices, or legends. Third-party Content, if any, provided by users may be copyrighted by such third parties and its use on the Website is with permission, or solely for discussion, commentary, and/or educational purposes, and is believed to be a fair use within the meaning of 17 USC § 107.

You may not download or copy our information Yourself and You may not employ any automated device, software tools, harvester, extractor, scraper, spider, robot, program, code, script, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, or copy the Sites or any portion thereof, or any content. You may not reproduce content or portions thereof in any way, nor ‘mirror’ the sites at a separate location or server. You may not obtain or attempt to obtain any content through any means not purposely made available through the normal use of the Website (e.g. using a standard web browser).

You expressly agree not to attempt to reverse engineer, replicate, or circumvent any software, product, or service feature of the Website. You agree not to attempt to divert traffic from The World Changers Network by use of a confusingly similar domain name.

You also may not attempt to gain unauthorized access of any kind to the Sites, or to any software, product, or service offered through the Sites via any means including hacking, password guessing, backdoors, code injection, or any other means. You also agree that You will not engage in any activities using the Sites that violate applicable laws or regulations in Your locale. Such uses are strictly prohibited and include invasion of privacy laws, laws pertaining to defamation or libel, or the like.

Remedies

The World Changers Network reserves the right to pursue all rights and remedies to the full extent available under applicable law, without limitation, for any breach of this Agreement.

Affiliate Program

Participation in the The World Changers Network Affiliate Program is subject to Additional Terms included in the Affiliate Program’s Offer Page, in the Affiliate Program Application, and in any other materials that may be provided to Affiliates.

Application to The World Changers Network Affiliate Program

You must submit an Affiliate Program Application (“Application”) in order to be considered for selection as an Affiliate of The World Changers Network. Only completed applications submitted with all requested information will be reviewed for consideration.

You must accurately complete the Application. You agree and understand that You must provide us with Your correct legal identity, physical address, phone number, and other contact information, as well as business and banking information as requested. You may not use any alias, pseudonym, persona, pen name, DBA, or other means to mask Your identity or business details.

You understand that You must update Your application in the future if the information You have provided changes or is updated. Any false or incorrect information, or a failure to update the application, is cause for rejection of Your application, or if later discovered, an immediate termination of Your Affiliate status without compensation.

We will review Your application and notify You of its acceptance or rejection by email. Acceptance of applications is at our sole discretion. Applications may be rejected for any reason or no reason at all.

Acceptance as an Affiliate

Upon acceptance, Affiliates will receive an email containing one or more Affiliate credentials (including an Affiliate username, Affiliate id number, login password, Affiliate URL, or similar). The acceptance email and Affiliate credentials may not be shared.

Eligibility

Acceptance as an Affiliate does not assure Your eligibility for every Affiliate Program Offer. You understand that The World Changers Network reserves the right at any time to limit some Offers to certain Affiliates at its sole discretion (based on need, prior results or performance, experience, market size, compatibility of the program with the Affiliate, or other criteria of The World Changers Network’s choosing).

Only paid Members in good standing with The World Changers Network are eligible to be Affiliates. Termination of Your Membership in The World Changers Network will automatically terminate Your status as an Affiliate, and terminate Your right to any unpaid commissions.

Termination of The World Changers Network will automatically terminate the Affiliate Program in its entirety, including the right of Affiliate to any unpaid Affiliate compensation obligations.

Compensation

The World Changers Network will pay Affiliates per the Limited Terms listed on the Affiliate Offer Page, which will change from time to time at The World Changers Network’s discretion (the “Commission”) as defined below.

Earned Commissions (“Commissions Due”) shall be paid monthly provided:

Commissions are payable in the cycle following thirty days after receipt of payment by The World Changers Network;
The World Changers Network has received all funds due and owing from the relevant Member(s) for the current period;
Affiliate has current and up to date tax forms and information on file with The World Changers Network; and
Affiliate’s payment information is complete and complies with all instructions and requests for updates by The World Changers Network. Affiliates who do not have current, accurate and complete payment information on file are not eligible to receive commissions.

Affiliates are not entitled to be paid Commission on any free Membership. No Commission will be earned on partial, incomplete or returned payments.

For the sake of clarity and in addition to the Limited Terms associated with an Offer, a Commission is earned when a Member:

Accesses a program website or other URL via a link, where the link is the ‘last link’ used by that individual to access the program website or URL; and
Provides all required information and pays for a Membership subscription.

A Commission will not be earned for any action:

Involving any artificial or fraudulent method to appear like an individual, natural person;
That is not a bona fide expression of interest by an individual natural person or is solely intended to generate a Commission;
Is later determined by The World Changers Network to be fraudulent, incomplete, unqualified, or a duplicate;
Is obtained in violation of law, in violation of this Agreement, or in violation of any Additional Terms or Limited Terms.

Chargebacks, Offsets, Holdbacks, and Accounting

Right to Chargebacks

Affiliate hereby authorizes The World Changers Network to chargeback Affiliate’s account or otherwise adjust for any previously paid commissions which are later determined not to meet the requirements of this Agreement. If The World Changers Network is unable to perform the chargeback for any reason, Affiliate is obligated to reimburse The World Changers Network Commissions paid that are later determined to be unqualified. Failure to pay any reimbursement invoice within 30 days is grounds to terminate the Affiliate from the Affiliate Program and initiate all lawful collection actions.

Right to Offset

If Affiliate owes any balance to The World Changers Network under this Agreement or any other agreement between Affiliate and The World Changers Network for any reason, Affiliate hereby authorizes The World Changers Network to offset commissions due to Affiliate in the amount of same (“offsets”) at any time. The World Changers Network will provide an accounting of any such offsets, including the source and amounts of such offsets, in a statement provided to the Affiliate upon written request made within 30 days of the commission period in which the offset occurred.

Right to Holdback

Affiliate authorizes The World Changers Network to hold Commissions Due of less than one hundred dollars ($100) until the total amount payable to Affiliate exceeds such amount, at which time all previously held back Commissions will be paid to Affiliate. Affiliate also authorizes The World Changers Network to hold Commissions Due for at least 30 days after purchase of the subscription.

Accounting and Disputes

Upon written request from Affiliate, The World Changers Network will provide a statement to Affiliate reflecting all Commissions earned under this Agreement in the prior twelve months, reflecting any chargebacks, offsets, and/or holdbacks. Determinations of Affiliate’s earned commissions, based on Customers or Qualified Actions shall be made by The World Changers Network in its sole discretion, based on available data including cookies, tracking data, use of affiliate links, or the like. If Affiliate does not dispute the invoice within ten days of receipt, then Affiliate irrevocably waives the ability to dispute Commissions earned during the period of time covered by that invoice.

In the event that Affiliate intends, in good faith, to dispute any Commission received, Affiliate must submit that dispute to The World Changers Network in writing within ten (10) days of The World Changers Network issuing the statement (“Dispute”). Each Dispute shall be set forth in its own accounting, and the basis for Affiliate’s accounting or for other disagreements with regard to the statement, in sufficient detail for The World Changers Network to conduct a review. Affiliate shall include with each dispute submitted any supporting evidence including affiliate’s own tracking data with respect to Commissions Earned. The World Changers Network will review the dispute and supporting evidence and determine, in its sole discretion, if an adjustment is warranted. The World Changers Network is under no obligation to make adjustments.

Independent Contractor

Affiliates agrees that Affiliate is a self-employed independent contractor. The World Changers Network does not shall control the Affiliate’s work hours, numbers of hours worked, or place of work. Subject to all applicable local, state, commonwealth, and federal laws and regulations, as well as this Agreement and any other contract(s) between Affiliate and The World Changers Network, Affiliate shall exercise independent judgment to conduct and control Affiliate’s own business activities under this Agreement, including but not limited to schedule, work hours, customer prospects, office location, geographic area, expenses, and business strategies and methods. At no time shall anything in this Agreement, the relationship created between the parties pursuant to this Agreement, nor any course of dealing between the parties create an employment relationship, a joint venture, partnership, or any similar relationship between Agent and The World Changers. As an independent contractor, Affiliate is solely responsible for paying all federal, state, commonwealth, local or other taxes related to any Compensation that Affiliate may receive pursuant to this Agreement. The World Changers will not withhold any taxes from Compensation paid to Affiliate, unless otherwise required by law. If required, it is the sole responsibility of Affiliate to file any required Notice of Designation as Independent Contractor or similar paperwork with the appropriate state, commonwealth, and/or local agency.

Confidentiality

Affiliate agrees that all information, data, and strategies in connection with The World Changers Network Affiliate Program are confidential, unless otherwise expressly provided in this agreement or agreed in writing signed by The World Changers Network. For purposes herein “Confidential Information” includes, but is not limited to all of The World Changers Network’s business information, financial information, customer lists, vendor lists, pricing and sales information, customer or Affiliate reviews, complaints, service or support issues, complaints, or as well as all information concerning The World Changers Network or The World Changers Brand Entities. “Confidential Information” does not include information that is generally known or available to the public in its entirety, or obtained through a third party who has independently discovered or developed such information and is under no duty not to disclose it.

Affiliate agrees to hold all confidential information strictly confidential and/or secret and to use its best efforts not to directly or indirectly disclose or reveal the confidential information to any third party. In no case shall Affiliate’s efforts fall below industry-accepted standards for confidentiality, or be less than a reasonable businessperson would use to protect the confidential information of similar value and importance.

Affiliate agrees not to use the confidential information, directly or indirectly, for any purpose other than for participation in the Affiliate Program. Affiliate shall not, directly or indirectly, for the benefit of any person or commercial enterprise, use any information obtained in connection with The World Changers Network Affiliate Program, including but not limited to confidential information, to create, develop, improve, or provide, any product or service that competes with the Affiliate Program.

Affiliate Tools: Creatives

For each Affiliate Program, The World Changers Network will provide Affiliate with tools to assist Affiliate with success. Such tools may include graphic and textual links to the Website, copy, sample ads, model emails, and/or other creative materials (collectively, the “Creatives”) which You may display on websites owned or controlled by You, in emails and other messages sent by You and clearly identified as coming from You, and in online advertisements (collectively, “Media”). The Creatives are solely for use by The World Changers Network Affiliates in connection with an Affiliate Program and will establish a link from Your media to the program website. Affiliate may be required to modify the Creatives to include the Affiliate’s specific information such as Affiliate id or tracking information.

Affiliate shall be solely responsible for any errors or omissions in modifying or customizing the Creatives to incorporate affiliate-specific information. Affiliate also accepts sole responsibility for the development, operation, maintenance of, and distribution of all content on or linked to, Affiliate’s media.

Use of Creatives is subject to the limited license set forth in section 6(g)(i) of this Agreement.

Limited License for Creatives

Subject to Your acceptance as an Affiliate following review of Your Application, The World Changers Network hereby grants You a nonexclusive and nontransferable right to use the Creatives and to access the Website through the Creatives solely in accordance with the terms of this Agreement. Such rights do not include any right to sublicense and are fully revocable without notice at the discretion of The World Changers Network. The foregoing license is for the sole purpose of participating in The World Changers Network Affiliate Program and assisting in increasing Affiliate sales through the connection between the media and the Website.

You may not alter, modify, manipulate or create derivative works of the creatives or any of The World Changers Network graphics, creative, copy or other materials owned by, or licensed to, The World Changers Network in any way without the expressed written permission. Use of the Creatives under this license is strictly limited to Affiliates in good standing with the Affiliate Program.

Nothing in this Agreement grants You any rights other than those expressly provided in this section to any of The World Changers Network’s intellectual property including but not limited to trademarks, service marks, copyrights, patents, or trade secrets.

Terms for use of Creatives

Creatives may be posted on Your personal social media pages and sent via text message or email to individuals with whom You have a personal or business relationship.

In using the Creatives, Affiliate shall ensure that all materials posted on Your media or otherwise used in connection with the Affiliate Program:

Are not used in a way that suggests You own the Website or the materials, or that suggests You are representing The World Changers Network (for example, do not say “Check out my website” or “I am reaching out to You on behalf of The World Changers Network” – if You are uncertain whether phrasing is appropriate ask);
Are not used in connection with any spam or mass marketing efforts;
Are not posted on any social media page You do not own;
Are not posted on any website, in comments or elsewhere, without approval by the website’s owner;
Are not used in connection with any advertisement without prior approval from The World Changers Network;
Are not illegal nor used in connection with any illegal material;
Do not contain or link to any material which a reasonably prudent business person would consider harmful, threatening, defamatory, obscene, sexually explicit, harassing, or promoting violence.
Do not contain or link to material that promotes discrimination (whether based on religion, race, ethnicity, nationality, disability, age, gender, or sexual orientation);
Do not promote illegal activities (such as gambling, or illegal drugs);
Do not contain materials that The World Changers Network has deemed objectionable, which are prohibited under the terms of any The World Changers Network Affiliate Program or offer, or which The World Changers Network informs You that it considers objectionable (collectively, “Objectionable Content”);
Do not infringe the intellectual property or related rights of any third party including moral rights, and rights of attribution.

Terms and Conditions for Affiliate Advertising and Marketing; Miscellaneous Advertising Provisions

Affiliate shall not make any representations or other statements concerning The World Changers Network or the Services, except as expressly authorized herein, or under a separate written agreement between You and a Brand Entity

Affiliate acknowledges that The World Changers Network retains all rights in any program website or related material, including domain names. Affiliate’s media may not copy or substantially or confusingly resemble the look and feel of the program website or create the impression that Your media is endorsed to any extent by The World Changers Network or constitutes an official part or extension of the program website, without prior written permission from The World Changers Network. Affiliates should consider The World Changers Network and its trademarks and service marks when securing domain names. Affiliates should obtain permission in writing if there is any question as to whether a particular domain name may infringe on The World Changers Network’s rights, or may be construed as an implied endorsement. Do not jeopardize Your status as an Affiliate!

Affiliates shall also prominently post and make available to end-users any terms and conditions consistent with those described in the Offer Page, or as required by applicable laws.

Affiliate at all times has sole responsibility for the development, operation, maintenance of, and distribution of all content on or linked to, Your media.

Affiliate must comply with:

All obligations, requirements, and restrictions under this agreement and
Applicable laws, regulations, and rules controlling Your business, Your media or Your use of the creatives, and
The terms, conditions, guidelines, and policies of any third-party services used by Affiliate in connection with the Affiliate Program, including but not limited to, email providers, video services, social networking services, and advertising networks.

Remedies for Material Breach

In addition to any other rights and remedies available under this Agreement, The World Changers Network reserves the right to disregard any actions obtained through the Affiliate’s efforts and to deny, withhold, and/or freeze any unpaid Commissions Due, and/or chargeback any and all amounts paid to Your account if:

The World Changers Network determines that You have violated this Agreement in a manner that constitutes a material breach including by unfairly gaining an advantage over other Affiliates, or by misleading or confusing or potentially misleading or confusing any customer or potential customer with respect to any program or offer;
The World Changers Network receives any complaints about Your participation in the Affiliate Program which The World Changers Network reasonably believes to violate this Agreement in a way that constitutes a material breach or which unfairly provided an advantage to You, or resulted in payments hereunder that are contrary to the terms and conditions herein or any Additional Terms or Limited Terms;
Any payments made to You hereunder are later determined to have been the result of advertising or actions that did not meet the requirements set forth in this Agreement or on the Affiliate Program Offer Page.
Such withholding or freezing of Commissions Due, or chargebacks for payments made, maybe without regard as to whether or not such Commissions were earned directly or indirectly as a result of such breach. In the event of a material breach of this agreement, The World Changers Network reserves the right to disclose Your identity and contact information to appropriate law enforcement or regulatory authorities it deems useful or any third party that has been or claims to have been damaged by Your actions.

Disclaimer of Warranties

The Services, and any content obtained or accessed through the Services, including without limitation Third-Party Content, is provided “as is” without representations or warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, The World Changers Network, its officers, directors, employees, subsidiaries, affiliates, suppliers, advertisers, and agents disclaim all warranties, express, implied or statutory, including, but not limited to, implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose or use, and all warranties relating to the adequacy, accuracy, timeliness or completeness of any information available through the Services,

The World Changers Network and its affiliates and agents do not warrant and nor represent that Your use of the Services and any content contained therein, including without limitation, Third-Party Content, will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Services or the server(s) on which the Services are hosted are free of viruses, worms, malicious code, Trojan horses, malware, or other harmful components. The World Changers Network, its affiliates and agents accept no liability for any software downloaded from the Services. You acknowledge that You are responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed to access and use the Services, and all charges related thereto. You assume total responsibility and risk for Your use of the Services and Your reliance thereon. No opinion, advice, or statement of The World Changers Network or its affiliates, agents, Members, or visitors, whether made on the Website or otherwise, shall create any warranty. Your use of the site, the content contained therein, and materials provided through the site, are entirely at Your own risk. The World Changers Network, its affiliates and agents are not liable for any informational errors, incompleteness, delays or any actions taken in reliance on information contained in the Services.

Member Services may not always be available to You when You would like access for reasons beyond our control. And from time to time we may suspend and/or deny access to the Website for updates, maintenance (scheduled or unscheduled), enhancements, upgrades, improvements, or corrections, or to maintain or improve security. Some information and offers provided on the Website are time-limited and will be removed at our discretion. We also believe some content has a limited useful life and we reserve the right to take down, remove, or archive content at our discretion.

A possibility exists that content available through the Services could include inaccuracies or errors, or materials that violate this Agreement. Under no circumstances shall The World Changers Network be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties.

There are NO warranties or guarantees made related to the use of the Services, or for any products or Services offered through the Sites. Any guarantees or warranties that might be implied by law are specifically disclaimed including but not limited to, warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of Liability

NEITHER THE WORLD CHANGERS NETWORK NOR ITS AFFILIATES, SUBSIDIARIES, AGENTS, OWNERS AND OFFERS ARE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, RELIANCE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL THEORY ARISING OUT OF OR RELATING IN ANY WAY TO THE SERVICES AND/OR ANY CONTENT CONTAINED THEREIN, INCLUDING WITHOUT LIMITATION, ANY THIRD-PARTY CONTENT, OR ANY SERVICES USED OR PURCHASED THROUGH THE WORLD CHANGERS NETWORK, WHETHER SUCH DAMAGE IS FORESEEABLE OR NOT AND WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. FOR AVOIDANCE OF DOUBT, DAMAGES ARISING UNDER THE SECTION ENTITLED “INDEMNIFICATION” (INCLUDING WITHOUT LIMITATION DAMAGES TO WHICH A PARTY IS ENTITLED TO INDEMNIFICATION UNDER SUCH SECTION THAT SUCH PARTY SUFFERS IN CONNECTION WITH THIRD PARTY CLAIMS FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES) ARE DEEMED TO BE DIRECT DAMAGES OF THE INDEMNIFIED PARTY. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING IT. THE SOLE AND EXCLUSIVE MAXIMUM LIABILITY TO COMPANY FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION — WHETHER IN CONTRACT, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE), OR OTHERWISE — SHALL BE THE TOTAL AMOUNT PAID TO US BY YOU, IF ANY, FOR ACCESS TO THE SERVICES IN THE CURRENT CALENDAR YEAR OF YOUR SUBSCRIPTION.

Indemnification

You agree to indemnify, defend and hold harmless The World Changers Network, its affiliates, officers, directors, employees, agents and representatives and their successors and assignees from and against any and all liabilities, claims, (including, without limitation, third-party claims), damages, losses, costs (including reasonable attorneys’ fees), or other expenses associated with or incurred as a result of or from (a) Your violation of this Agreement; (b) Your use of the Service; (c) Your violation of the rights of any third party; (d) the actual or alleged infringement of any third party proprietary or intellectual property right arising out of the duplication, sale, distribution, or use of the Services, (e) any liability arising from Your use of the Services including any user-generated content You create; or (f) any action taken by You as an Affiliate under this Agreement.

Changes to this Agreement, Services, and Offers

We reserve the right at any time to:

Change the terms and conditions of this Agreement, Limited Terms, Additional Terms and any other rules, guidelines, and policies incorporated herein;
Change all or any portion of the Services, eliminating or discontinuing any content or feature of the Services or portion thereof;
Change the fees, charges or other conditions for use of the Services (with reasonable notice, in our sole discretion); and
Change or Terminate the Affiliate Program.

Any changes we make to this Agreement, Additional Terms and Limited Terms will be effective immediately after we post the modified terms on the Website. In the event that You have this Agreement or other policies cached on Your browser, the Agreement and policies that apply to You is the most recent version that appears on a non-cached browser. In addition, if the terms of a Membership or the Affiliate Program change, the associated Offer Page, Additional Terms, Limited Terms, and this Agreement may be modified.

General Provisions

Governing Law. This Agreement shall be interpreted under and governed by the laws of the State of Florida. The exclusive venue of any action brought under or related to this Agreement shall be Miami-Dade County, Florida, and the parties hereby agree to, and waive all objections to, personal jurisdiction and venue in Miami-Dade County, Florida.
- Waiver of Jury Trial: The parties hereto hereby knowingly, voluntarily, and intentionally waive any right either may have to a trial by jury with respect to any litigation between the Member or Affiliate and The World Changers Network for any purpose. This explicit waiver of a right to a jury trial is intended to be broad and encompass any disputes between the Member or Affiliate and The World Changers Network and is not limited to disputes that may arise under this Agreement or any other agreements between the Member or Affiliate and The World Changers Network
- Attorney’s Fees. In the event a dispute arises between the parties under this Agreement and a civil action is filed, The World Changers Network shall be entitled to recover its costs and attorneys’ fees if it is the prevailing party. As used herein, costs and attorneys’ fees include any costs and attorneys’ fees in any appellate and post-judgement collection proceeding. The parties hereto further agree that should a civil action be filed and then voluntarily dismissed by The World Changers Network, for whatever reason, the defendant or counter-defendant (as the case may be) to the civil action is not a “prevailing party” for the purpose of recovering attorneys’ fees and costs as a result of the voluntary dismissal.
- Notice. All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and shall be deemed to have been duly made and received when sent via email to the email address provided by the Member at registration, or as updated, and to The World Changers Network at: contact@twcnetwork.io
- Assignment. This Agreement may not be assigned by any Member. The Agreement may be assigned by The World Changers Network to a parent corporation, if any, or any of its subsidiaries or affiliates, or to a successor entity in the event of merger, consolidation, transfer, sale, stock purchase, or public offering as long as the surviving entity assumes all of that party’s obligations hereunder.
- Entire Agreement. This Agreement, combined with the policies incorporated by reference herein contain the entire understanding between the parties with respect to the subject matter herein, and supersedes all prior and contemporaneous agreements and understandings, inducement or conditions, expressed or implied, except as stated in this Agreement.
- Severability. If any part of or any provision of this Agreement or any other document or writing given pursuant to or in connection with this Agreement shall be invalid or unenforceable under applicable law, that part of the Agreement shall be ineffective to the extent of such invalidity or unenforceability only, without in any way affecting the remaining parts of the provision or the remaining provisions of the Agreement.
- Captions. All captions herein are for organizational purposes only and not intended to limit the meaning of anything herein or to have an independent legal meaning.
- Singular, Plural, etc. Wherever herein the singular is used the same shall include the plural and the masculine gender shall include the feminine and neuter genders and vice versa, as the context shall require.
- Waiver. Failure of any party to insist upon compliance with any provision hereof shall not constitute a waiver thereof. No waiver of any provision of this Agreement shall be effective unless it is in writing and signed by the party against whom it is asserted. Any waiver of any provision of this Agreement shall only be applicable to the specific provision and instance to which it is related and shall not be deemed to be a continuing or future waiver as to such provision or as to any other provision.
